The railroad was little more than a tramway leading from Apex, in Wake County, to the Jake Williams' farm near Angier, in Harnett County. The line was extended to Durham and the name changed to the Durham & Southern Railroad. The original purpose of the railroad was to haul lumber and logs.

1891, the Cape Fear & Northern Railway was chartered by the NC Legislature, with G. B. Alford, E. B. Barbee, W. B. Upchurch, H. E. Norris, H. W. Norris, W. H. Burt, Wm. M. Ballentine, J. D. Ballentine, J. Walter Collins, N. G. Burns, G. J. Holt, B. S. Utley, J. L. Johnson, J. A. Smith, M. V. Prince, G. W. Rand, C. B. Barbee, E. C. Smith, W. F. Utley, W. H. Hankins and N. M. Rand as incorporators.

The original 1891 charter authorized the company to construct, maintain and operate a line of railway with one or more tracks from some point on the Raleigh and Augusta Railroad between New Hill and the city of Raleigh, or some point on the North Carolina Railroad between the said city of Raleigh and Durham, to some point on the Cape Fear river between Fayetteville and Worthington's Ferry.

This company's charter was amended twice - in 1893 and 1899. It is likely that this original company evolved into the one described above. Or... it dissolved, and a second iteration was granted in 1901.
